Refund & Cancellation Policy

Overview
Odoo Semantic MCP ("the Service") is a paid digital service (a hosted MCP/API, billed per seat). Subscriptions are billed in advance on a recurring basis (monthly or annual) and sold through our Merchant of Record, Polar Software Inc. (polar.sh). The Service is operated by Viindoo Technology Joint Stock Company (Vietnam).
Your refund and cancellation rights depend on whether you buy as a business, as a consumer in the EEA or UK, or as a consumer elsewhere (including Vietnam). The section that applies to you governs.
Cancellation (all customers)
You may cancel your subscription at any time — there is no minimum commitment period. Cancellation stops the next renewal; it does not, by itself, trigger a refund (see the refund rules below).
To cancel, use either:
- Your account billing page at /account/billing → "Manage billing & invoices";
- The Polar customer portal (link on your billing page), where invoices are also available.
Cancellation takes effect at the end of your current billing period. You keep full access to paid features until that date, after which your account reverts to the Free tier — your data, repositories, and API key are retained.
A. Business customers (B2B)
If you purchase in the course of a trade, business, craft, or profession, you contract as a trader, not a consumer. Statutory cooling-off / withdrawal rights for consumers do not apply (CRD 2011/83/EU Art. 3.1).
All business sales are final. We do not provide refunds or credits for partial billing periods (e.g. cancelling mid-month), unused MCP tool calls or quota, plan downgrades during an active period, or periods you did not actively use. Cancellation simply stops the next renewal as described above.
B. Consumers in the EEA or United Kingdom (B2C)
If you are a consumer resident in the European Economic Area or the United Kingdom, you have a statutory right to withdraw from your purchase within 14 days of entering the contract, under the Consumer Rights Directive (2011/83/EU) and equivalent UK law. Odoo Semantic MCP is supplied as a digital service (not "digital content supplied on a non-tangible medium"), so the rules in Art. 16(a) and Art. 14(3) apply:
- Before the service begins: if you have not asked us to start during the 14-day window, you may withdraw for any reason and receive a full refund.
- If you ask us to start during the 14-day window (you give your express prior request to begin immediately and acknowledge the consequences — see our checkout consent and the signup notice): you may still withdraw within 14 days, but you must pay for the portion of the service already provided up to the moment you withdraw. We will refund the rest on a pro-rata basis (Art. 14(3)). The pro-rata refund is calculated as (days remaining in the current billing period ÷ total days in the billing period) × the subscription fee paid for that period.
- Once the service is fully performed within the 14-day window — i.e. the paid period you bought has fully elapsed — with your prior express request and acknowledgement that you would lose the right of withdrawal on full performance, the right of withdrawal is lost (Art. 16(a)). One-time or lifetime purchases that have been fully performed are likewise non-refundable from that point.
To withdraw, tell us clearly within 14 days via your billing page or by opening a support ticket. You do not need to give a reason. Refunds are issued through Polar to your original payment method.
Using the Free tier does not remove or shorten your withdrawal right on a later paid purchase; the 14-day window runs from the start of the paid contract.
C. Consumers elsewhere, including Vietnam
If you are a consumer who is not resident in the EEA or UK, sales are final and we do not provide refunds for partial periods, unused quota, downgrades, or non-use, except where a refund is required by the mandatory consumer-protection law of your country.
For consumers in Vietnam, your rights under the Law on Protection of Consumer Rights No. 19/2023/QH15 are preserved. If you believe the Service is defective or not as described, you may submit a complaint following the procedure in Article 37 of that Law.
Because purchases are processed by our Merchant of Record, Polar Software Inc. (polar.sh), Polar may apply its own refund policy to your transaction. Where Polar's policy is more generous than this one, the more favourable terms apply to you.

What happens after cancellation
- Access to paid features continues until the end of your current billing period;
- At period end, your account reverts to the Free tier automatically;
- Your indexed repositories, API key, and account data are retained on the Free tier;
- Free-tier limits (quota, repos, rate) apply from the revert date;
- You may subscribe again at any time to restore paid-tier access.
Payment and invoices
Payments are processed by Polar Software Inc. (polar.sh), our Merchant of Record and seller of record for your purchase. Invoices and payment history are available in the Polar customer portal (link on your billing page). For payment disputes or charge queries, contact Polar's support or open a ticket.
